Terms and Conditions of Use

Welcome to OTARI (“OTARI”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern access to and use of the OTARI mobile application, platform, software, and related services (collectively, the “App”). By accessing, downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must immediately discontinue use of the App.

1Legal Entity and Scope

  • OTARI operates in Tunisia and provides a digital social commerce platform connecting users, creators, influencers, and businesses.
  • These Terms apply to all users without exception.
  • Use of the App does not create any partnership, employment, agency, or joint venture relationship between users and OTARI.

2Eligibility

  • The App is strictly intended for individuals aged 18 years or older.
  • By using OTARI, you confirm that you meet this requirement and that you are legally capable of entering into binding agreements under Tunisian law.

3Description of Services

  • OTARI provides a technology platform enabling referrals, rewards, commissions, visibility mechanisms, and engagement tools.
  • OTARI is a technology intermediary only.
  • OTARI does not guarantee sales, profits, revenue, income, visibility, growth, or business success.
  • All outcomes depend solely on user actions and third parties.

4User Accounts

Users must create an account to access certain features. You agree to:

  • provide accurate, truthful, and complete information;
  • keep your credentials secure;
  • assume full responsibility for all activity conducted through your account.

OTARI is not responsible for unauthorized access resulting from user negligence.

5Account Deletion

Users may permanently delete their account at any time:

  • directly through the App where available, or
  • by contacting support at support@otari.tn.

Upon deletion:

  • all personal data is deleted or anonymized;
  • access rights are permanently revoked;
  • the deletion is irreversible.

OTARI has no obligation to retain user data after deletion, except where legally required.

6User Obligations and Prohibited Conduct

Users agree not to:

  • violate Tunisian or international law;
  • misuse referral, reward, or commission mechanisms;
  • commit fraud, impersonation, or manipulation;
  • attempt to reverse engineer or exploit the App;
  • upload illegal, misleading, or harmful content;
  • interfere with system security or integrity.

OTARI reserves the right to suspend or permanently terminate accounts at its sole discretion.

7Rewards, Commissions, and Financial Features

OTARI may provide access to rewards, discounts, referral benefits, or commissions. Users acknowledge that:

  • rewards are not guaranteed;
  • conditions may change without notice;
  • eligibility is determined solely by OTARI;
  • OTARI is not responsible for disputes between users or businesses.

OTARI does not act as a financial institution.

8Intellectual Property Ownership

All rights, title, and interest in and to the App, including but not limited to:

  • software code,
  • source code,
  • architecture,
  • databases,
  • algorithms,
  • UI/UX,
  • designs,
  • logos,
  • trademarks,
  • brand identity,
  • content,
  • business logic,
  • documentation,

are the exclusive property of OTARI. No license or ownership right is granted to users, developers, contractors, or third parties except as expressly stated in writing by OTARI.

9Developer and Contractor Disclaimer

Any developer, contractor, freelancer, or technical contributor involved in the creation, maintenance, or deployment of the App:

  • acts strictly as a service provider;
  • has no ownership rights in the App or its components;
  • waives any intellectual property claims, moral rights, or future claims;
  • acknowledges that all work is performed as a commissioned work made for hire where applicable.

All source code, deployments, submissions, configurations, and updates published to App Store Connect or any distribution platform are performed on behalf of OTARI only. No developer or contributor may:

  • claim authorship of the App;
  • reuse the codebase;
  • publish, distribute, or resell the software;
  • assert ownership or equity rights unless formally granted in writing.

10App Publication and Control

OTARI retains exclusive control over:

  • app store listings;
  • publication rights;
  • updates;
  • pricing;
  • access permissions;
  • account ownership.

Any access granted to third parties is temporary and revocable.

11Disclaimer of Warranties

The App is provided “as is” and “as available”. OTARI disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose, availability, accuracy, or reliability.

12Limitation of Liability

To the maximum extent permitted by law, OTARI shall not be liable for:

  • indirect or consequential damages;
  • loss of revenue, data, profits, or business opportunities;
  • user-generated content;
  • third-party actions or integrations.

Total liability shall not exceed the amount paid by the user to OTARI, if any.

13Indemnification

Users agree to indemnify and hold harmless OTARI from any claims, damages, losses, or legal fees arising from misuse of the App or violation of these Terms.

14Termination

OTARI may suspend or terminate access without notice in case of breach. Termination does not affect accrued rights or obligations.

15Governing Law

These Terms are governed exclusively by the laws of the Republic of Tunisia. Any dispute shall fall under the exclusive jurisdiction of Tunisian courts.

OTARI (“OTARI”, “we”, “our”, “us”) is committed to protecting the privacy of its users and to handling personal data in a transparent, lawful, and secure manner, in accordance with applicable laws and regulations in the Republic of Tunisia and applicable international standards. This Privacy Policy explains how data is collected, used, stored, shared, and deleted when you use the OTARI mobile application and related services (the “App”). By using the App, you acknowledge that you have read and understood this Privacy Policy.

1Scope of This Policy

  • This Privacy Policy applies to all users of the OTARI App, including consumers, creators, influencers, and business users.
  • This Policy applies solely to OTARI services and does not cover third-party websites, applications, or services that may be linked or integrated into the App.

2Categories of Data Collected

OTARI may collect and process the following categories of data:

  • Personal identification data — such as name, email address, username, and account identifiers provided voluntarily during registration or use of the App.
  • Account and profile data — such as role type, preferences, referral activity, rewards status, and account settings.
  • Usage and interaction data — including actions performed within the App, referral interactions, clicks, engagement metrics, and feature usage, collected for functionality and improvement purposes.
  • Device and technical data — including device type, operating system, app version, language, IP address, and general diagnostic data.

OTARI does not intentionally collect sensitive personal data such as government identifiers, financial account numbers, biometric data, or health-related information.

3Legal Basis for Processing

Data is processed based on one or more of the following legal grounds:

  • user consent,
  • necessity for service performance,
  • compliance with legal obligations,
  • legitimate interests related to security, fraud prevention, and service improvement.

4Purpose of Data Processing

Collected data is used exclusively to:

  • create and manage user accounts;
  • provide access to App features;
  • operate referral, reward, and commission mechanisms;
  • improve performance, usability, and reliability;
  • ensure platform security and integrity;
  • detect, prevent, and address fraud or misuse;
  • comply with legal and regulatory requirements.

Data is never used for purposes incompatible with those described above.

5Automated Processing and Analytics

OTARI may use automated tools to analyze usage patterns and performance metrics in order to improve the App. These processes do not produce legal or significant effects on users and are not used for automated decision-making related to eligibility, income, or rights.

6Data Sharing and Disclosure

OTARI does not sell, rent, or commercially trade personal data. Data may be shared strictly on a need-to-know basis with:

  • technical service providers (hosting, analytics, infrastructure);
  • cloud service providers used to operate the App;
  • legal or regulatory authorities when required by law or court order.

All service providers are contractually bound to confidentiality, data protection, and security obligations.

7International Data Transfers

Data may be processed or stored on servers located inside or outside Tunisia, depending on technical infrastructure requirements. In all cases, OTARI ensures that appropriate safeguards are in place to protect user data in accordance with this Privacy Policy.

8Data Retention

Personal data is retained only for as long as:

  • the user account remains active;
  • necessary to provide the services;
  • required to meet legal or regulatory obligations.

When data is no longer required, it is securely deleted or anonymized.

9Account Deletion and Data Erasure

Users may request permanent account deletion at any time through:

  • in-app account deletion functionality where available; or
  • a written request sent to support@otari.tn.

Upon deletion:

  • the account is permanently disabled;
  • personal data is deleted or anonymized;
  • access rights are revoked;
  • deletion is irreversible.

Certain data may be retained temporarily only if legally required.

10Access Control and Developer Restrictions

Access to user data is strictly limited to authorized OTARI personnel and systems. Developers, contractors, or technical contributors may only access data where necessary for maintenance and only under OTARI’s instructions. They acquire no rights over the data and may not store, reuse, or exploit it.

11Data Security

OTARI implements appropriate technical and organizational security measures, including access controls, encryption where applicable, and system monitoring, to protect personal data against unauthorized access, loss, misuse, or alteration. Despite these measures, no system can guarantee absolute security.

12Children’s Privacy

The App is strictly intended for users aged 18 and above. OTARI does not knowingly collect personal data from minors. If such data is identified, it will be deleted without delay.

13User Rights

Subject to applicable laws, users may:

  • request access to their personal data;
  • request correction of inaccurate data;
  • request deletion of their data;
  • withdraw consent where applicable.

14Changes to This Privacy Policy

OTARI reserves the right to update this Privacy Policy at any time. Updated versions will be made available within the App. Continued use of the App constitutes acceptance of the revised policy.
